Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is made and entered into on the date of acceptance by the intern (“Intern”) for participation in the Biganto Student Internship Program, by and between:

Biganto having its principal place of business at Plot- 27/28, Phase IV, Udyog Vihar, Sector 18, Gurugram, Haryana 122001,

and

1. Purpose

The Intern acknowledges that during the internship with the Company, they may have access to certain confidential and proprietary information. This Agreement governs the protection and non‑disclosure of such information.

2. Definition of Confidential Information

“Confidential Information” includes but is not limited to:

Business strategies, marketing plans, research, processes.
Financial information, customer lists, internal data.
Training materials, product ideas, trading systems, analytics frameworks.
Software, code, algorithms, digital assets.
Any non‑public information shared verbally, electronically, or in writing.

Confidential Information does not include information that:

Becomes publicly available without breach of this Agreement.
Is received lawfully from a third party without restriction.
Is independently developed by the Intern without access to Company information.

3. Obligations of the Intern

The Intern agrees to:

Maintain strict confidentiality of all Confidential Information.
Not share, disclose, publish, transfer, or reproduce any Confidential Information without written consent from the Company.
Use Confidential Information only for purposes related to the internship.
Protect all information using reasonable security measures.
Immediately notify the Company of any unauthorized disclosure.

4. Ownership

All Confidential Information and any work, ideas, projects, documents, or materials created during the internship are the property of the Company. The Intern acknowledges that no intellectual property rights are transferred to them.

5. Duration

This Agreement remains in effect:

During the entire internship period, and

For 1 year after the internship ends, unless extended in writing.

6. Return of Materials

Upon completion or termination of the internship, the intern agrees to:

Return or delete all documents, files, notes, or materials containing Confidential Information.
Not retain any copies in any form.

7. Non‑Competition & Non‑Solicitation (Optional)

The Intern shall not:

Use the Company’s information to start or assist a competing business.

Contact or solicit Company clients, employees, or partners for personal or commercial purposes.

8. Remedies

The Intern acknowledges that any breach of this Agreement may cause irreparable harm, and the Company may seek:

Injunctive relief.
Legal remedies.
Compensation for losses resulting from misuse or disclosure.

9. No Employment Guarantee

This Agreement does not constitute an employment contract. The internship may be unpaid or paid depending on the programme guidelines.

10. Governing Law

This Agreement shall be governed by the laws of India.

11. Entire Agreement

This document contains the entire understanding between the parties and supersedes all prior agreements.
